These Terms of Service ("Terms") are an agreement between you and Medeu Global LLC, a Wyoming limited liability company ("we", "us"). They cover the vfx.systems website, accounts, and buying and using our software: Bright, Moray and EXR Converter (together, the "Services"). By using the Services you accept these Terms. If you use them for a company, you accept them for that company and confirm you may do so.
1. Who can use the Services
You must be at least 16 and able to form a binding contract. The Services are offered to professionals and businesses as well as individuals; where consumer law in your country gives you rights that these Terms cannot remove, those rights still apply.
2. Accounts
- Give accurate information, including an email address you control, and keep it up to date.
- Keep your password secret and tell us at once if you think someone else has used your account. You are responsible for activity on your account.
- One person per account. Do not share sign-in details.
- You can stop using your account at any time and ask us to delete it through the contact form. Purchase records we must keep for tax are handled as the Privacy Policy describes.
3. Acceptable use
You must not:
- break the law, or infringe anyone's rights, using the Services;
- try to get into accounts or systems that are not yours, probe or test our systems for vulnerabilities without our written permission, or get around rate limits, bot checks or other security measures;
- overload, disrupt or scrape the Services, or use them to send spam or malware;
- share, publish, resell or generate licence keys, or get around licence checks, watermarks or activation limits;
- pretend to be someone else, or misrepresent your connection to us.
We may suspend or close accounts that break these rules, and revoke licence keys used in breach of a licence. Where it is reasonable, we will tell you first and give you a chance to fix the problem.
4. Software licences
Our software is licensed, not sold. Your rights to use each product come from its licence, which is part of these Terms by reference. If a product licence and these Terms conflict about the software, the product licence wins.
Moray
Moray ships with its licence texts in the moray/licenses/ folder of every package (Preferences > Add-ons > Moray has a button that opens it). The Moray render worker and its native libraries are under the Moray commercial licence (MORAY-COMMERCIAL.txt). The Python add-on is GPL-3.0-or-later, and the moray_export extension and OpenMoonRay are Apache-2.0; nothing in these Terms limits your rights under those open-source licences. Without a licence key Moray runs as a watermarked trial. A paid key lets you run Moray without those limits, for commercial work, on up to the number of machines the key allows (currently two activations). Moray is an independent product and is not affiliated with or endorsed by DreamWorks Animation, the Academy Software Foundation or the Blender Foundation.
Bright
Bright is proprietary software. It is not yet released; when it is, it will come with an end-user licence agreement that sets out what you may do with it, and that agreement will apply by reference. [PLACEHOLDER: link the Bright EULA when Bright is released]
EXR Converter
EXR Converter is open source under the MIT License. You may use, copy, modify and distribute it under that licence. Optional components that use third-party SDKs (such as RED R3D and Blackmagic RAW) are covered by those vendors' terms, listed in the project's third-party notices.
Your work
You own the images, scenes and other output you create with our software. We claim no rights in them.
5. Payments and refunds
We are the seller. Payments are processed by Stripe, which takes the payment and emails your receipt. Stripe handles your payment details under its own privacy policy. We never receive your card details.
- Prices are shown at checkout, in the currency shown. Any tax that applies is shown at checkout before you pay.
- After payment you receive your licence key by email and your receipt from Stripe. Your account page lists your orders, receipts and keys.
- Refunds are requested through our contact form. Refunds go back to the original payment method through Stripe. When an order is refunded, its licence key is revoked. [PLACEHOLDER: refund window, for example "within 14 days of purchase"]
- If you are a consumer in the EU, EEA or UK, you may have a right to withdraw from a purchase of digital content within 14 days. By asking us to deliver the licence key at once, you agree that delivery starts immediately and acknowledge that you lose that right once the key is delivered, except where the law says otherwise.
- A chargeback on a purchase may lead us to revoke the related licence key while it is resolved.
6. Third-party services and links
The Services rely on third parties such as Cloudflare (hosting and bot checks), Stripe (payments) and Plunk (email), and link to other sites, including GitHub and OCIO.cc. We are not responsible for third-party sites or services, which have their own terms.
7. Changes and availability
We may change, add or remove features. We aim to keep the site available but do not promise it will always be. If we stop offering a product you paid for, keys you already have keep working under their licence for as long as that licence says.
8. Disclaimers
TO THE MAXIMUM EXTENT THE LAW ALLOWS, THE SERVICES AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. You are responsible for checking that the software suits your project, for keeping backups, and for the quality control of your deliveries. Some places do not allow these exclusions, so some may not apply to you.
9. Limitation of liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, RENDER OR FARM TIME, MISSED DELIVERIES OR PRODUCTION DOWNTIME, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS ABOUT THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR US$100.
Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.
10. Indemnity
If you use the Services for a business, that business will cover our reasonable costs from third-party claims caused by its breach of these Terms or misuse of the Services.
11. Ending these Terms
You may stop using the Services at any time. We may suspend or end your access if you seriously or repeatedly break these Terms. Sections that by their nature should survive (licences already granted, payment terms, disclaimers, limitation of liability, indemnity and governing law) continue after the Terms end.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The state and federal courts located in Wyoming have jurisdiction over disputes about the Services or these Terms. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence, and may bring proceedings in your local courts where those laws allow. Before going to court, please contact us so we can try to resolve the issue informally.
13. General
- These Terms, the Privacy Policy, the Cookie Policy and the product licences are the whole agreement between you and us about the Services.
- If a part of these Terms is unenforceable, the rest still applies.
- Not enforcing a term is not a waiver of it.
- You may not transfer these Terms without our consent. We may transfer them to a successor of the business.
- We may update these Terms. We will post changes here with a new date and, for significant changes, tell account holders by email before they take effect. Using the Services after that means you accept the new Terms.
